1. Service Description and Acceptance

CodePus is an AI-native intelligent development environment (IDE) that provides AI code completion, Agent chat, code search, MCP tool integration, and other features. These terms apply to the CodePus website (codepus.ai) and client applications. By accessing or using our services, you agree to be bound by these terms. If you do not agree, please discontinue use of the services.

2. Account Registration and Security

  • You must be at least 18 years old and have full legal capacity to enter into a binding contract. If you are under 18, you may use the services only with the consent and supervision of a parent or legal guardian, who assumes responsibility for your use. By registering, you represent and warrant that you meet these conditions, and you are solely responsible for any consequences arising from any false representation.
  • You must provide truthful and accurate registration information, and one email may register only one account.
  • You are responsible for account security, including safeguarding your password and API keys, and for all activity under your account.
  • You may not share your account or transfer service access to others.
  • Report any unauthorized use immediately.
  • We reserve the right to suspend or terminate accounts that violate these terms.

3. Subscriptions and Payments

  • The free plan is available at no cost with feature and usage limits.
  • Paid subscriptions are billed monthly or annually, charged automatically at the start of each billing cycle.
  • You may cancel your subscription at any time; cancellation takes effect at the end of the current cycle.
  • Prices may be adjusted; we will provide 30 days advance notice of price changes.
  • For billing inquiries, please contact customer support.
  • Booster packs are one-time purchases, do not auto-renew, and consumed tokens cannot be restored.
  • All charges, quota usage, token consumption, and billing cycles are determined solely by our server-side metering and billing records, which constitute the authoritative and conclusive basis. If they differ from client-side displays, third-party statements, or your own records, our records prevail.
  • By subscribing, you authorize us and our payment processors to automatically charge your designated payment method for recurring fees, applicable taxes, and any past-due amounts until you cancel. You are responsible for keeping a valid payment method on file.
  • You must review every charge and notify us in writing of any suspected billing error within 30 days of the charge date. If you do not, the charge is deemed correct, accepted, and final, and is not eligible for any credit or adjustment.
  • If any price, currency, tax, discount, coupon, or quota figure is displayed or applied in error, we may correct it at any time. An erroneous or mistaken price does not bind us, and where an error has under-charged you we may invoice and collect the difference.
  • If a payment fails, is reversed, or is charged back, we may immediately suspend or downgrade your service, retry collection, revoke any granted quota or rewards, and recover all outstanding amounts together with reasonable handling and collection costs.

4. Free Tier and Trial Terms

Free plans include limited features and usage quotas. We reserve the right to adjust free-tier quotas at any time. Trial periods that are not cancelled will automatically convert to paid subscriptions. Free-tier usage does not include SLA guarantees.

5. Acceptable Use Policy

When using CodePus, you may not:

  • Violate any applicable laws or regulations.
  • Attempt to disrupt, reverse-engineer, or abuse the service.
  • Use automated tools to make bulk API requests beyond reasonable limits.
  • Resell or sublicense service access.
  • Upload malicious code, illegal content, or content that infringes others' rights.
  • Use the service to generate content that violates laws or infringes third-party intellectual property.

6. Intellectual Property

  • Code generated using CodePus belongs to you. You are responsible for its legality and compliance.
  • The CodePus brand, software, documentation, and interface designs are protected by intellectual property law and may not be copied or distributed without authorization.
  • You grant us a limited, non-exclusive license to process content you submit through the service (solely as necessary to provide the service).

7. Third-Party Services

CodePus integrates third-party AI model providers, payment processors, and other services. We make no guarantees regarding the availability, accuracy, or security of third-party services. Third-party services are subject to their own terms.

8. Service Availability

We strive to maintain high service availability but do not guarantee 100% uptime. Services may be interrupted due to planned maintenance, upstream provider outages, or force majeure events. Paid subscribers receive Service Level Agreement (SLA) guarantees; see the SLA page for details.

9. Suspension and Termination

  • We may suspend or terminate your service access for: violation of these terms, fraudulent activity, prolonged non-payment, or legal requirements.
  • We will make reasonable efforts to provide advance notice, except in emergency situations.
  • You may cancel your subscription and delete your account at any time. Fees paid for the current billing period are not returned upon cancellation.

10. Disclaimer

  • AI-generated code may contain errors, vulnerabilities, or imperfections. You are responsible for reviewing and testing all AI-generated code.
  • CodePus makes no warranties regarding the accuracy, completeness, or fitness for purpose of AI output.
  • Services are provided “as is” without any express or implied warranties.

11. Limitation of Liability

To the maximum extent permitted by law, CodePus shall not be liable for any indirect, incidental, special, or consequential damages arising from use or inability to use the service. In no event shall our total liability exceed the total amount paid by you to us in the 12 months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless CodePus and its affiliates from any claims, losses, or expenses arising from your violation of these terms, violation of law, or infringement of third-party rights.

13. Governing Law and Dispute Resolution

  • These terms are governed by the laws of the People’s Republic of China.
  • Disputes arising from these terms shall first be resolved through friendly negotiation; failing that, they shall be submitted to the competent People’s Court at the location of the service provider.
  • For individual users with smaller dispute amounts, we also accept arbitration by the China International Economic and Trade Arbitration Commission (CIETAC).

14. Changes to Terms

We may update these terms from time to time. Significant changes will be communicated via email or website notification at least 30 days in advance. Continued use of services constitutes acceptance of the updated terms.

15. General Provisions

  • Severability: If any provision of these terms is found invalid, the remaining provisions remain in full effect.
  • Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
  • Entire Agreement: These terms, together with the Privacy Policy, constitute the entire agreement between you and CodePus.
  • Assignment: You may not assign any rights or obligations under these terms without our prior written consent.
